Ⅰ. Dealer’s application competency: 1. It must be absolute a corporate body. 2. Ⅱ. Dealer development procedure: 1. The company fitting for the above conditions can apply to the Northern Company 2. After being agreed, the company shall fill in Dealer Application Table of , and shall offer the copies of the ID card of juridical person, business license, and office place, tenancy contract of warehouse or house property certificate. 3. After being approved, the company can sign the initial Dealer Cooperative Agreement with the regional sales representatives of Northern Company. 4. The initial agreement shall be reported to Northern Company for approval and being sealed to be in effect. 5. The non-juridical person representative signing the agreement and the concerned documents needs the effective signature of the authorizing consigner defined by the Authorization Consign Document. 6. During the effective period of the “agreement”, if there are changes in the company name, legal representative, business address, account number, tax number, etc, the dealer shall inform in written form (sealed) and offer the copy of the changed document to Northern Company for changing record in time.

Ⅳ. Sustaining policy: 1. Dealer publishes the advertisement in the local media, and Northern Company offers the support of materials and advertisement sample. 2. The dealer holds or participates in the exhibition and promotional activities independently not organized by the company, which can apply to Northern Company, and the company will take the circumstances into consideration and support. 3. Northern Company offers the following training and support for the dealers: a. Technology, sales, service and management training b. Assist to organize the product demonstration conference and offer the proper fund support. 4. MAEN shall offer the color material of the products for the dealers, and the dealers shall fill in the MEAN Product Material Application Table and report for approval. 5. In order to unify the image, Northern Company offers the fees of lamp box, material exhibition frame, etc, and offer the detailed design solution. The dealer pays the fees in advance, and Northern Company will return this fees in the end of the year.
Ⅴ. Integration management: 1. Northern Company will offer the product quotation list of the next year for the dealers in December to February each year. 2. If Northern Company adjusts the prices or changes the types temporarily, the local sales of Northern Company shall inform the dealer five working days in advance.
Ⅵ. Qualification assessing: 1. Northern Company will assess the competence of the dealers in season. 2. The assessing ranges and standards mainly include: sales, service, load settlement and user document management, etc. 3. The qualification of the dealer not reaching the qualification standards will be cancelled. 4. The assessment is appraised and issued by Northern Company, and informed by the local sales to the dealers for implementing.
Ⅶ. Dealers’ Annual Conference: Northern will hold one or two dealer conference annually to exchange the market experience information and introduce the product development situation, review the concerned problems in the process of cooperation between the parties, and select the excellent dealer and the sale topping company, and the best sales personnel of Northern Company in the previous year, and offer a premiums.
